Version 1.0 · October 2026
This agreement is between you and Jan Rothmann, trading as null.audio, a sole proprietor in Germany ("we", "us"). The postal address is in the legal details on null.audio. Contact: contact@null.audio.
It covers null.audio ALIGN, null.audio EDIT and the bundle null.audio ALIGN + EDIT, and the software that comes with them: the null.audio app, the null.audio device for Ableton Live (null.audio.amxd), the null.audio EDIT Bridge plug-in, and their updates (together, "the software").
By installing or using the software you agree to these terms. If you don't agree, don't install it.
You buy through Lemon Squeezy, which sells the products to you as the merchant of record. Lemon Squeezy handles payment, tax, invoices and the download, under its own buyer terms. This agreement covers your use of the software.
When you buy a product, you get a perpetual, non-exclusive licence to use it.
ALIGN needs your own copy and licence of VocAlign Pro or VocAlign Standard. EDIT needs your own copy and licence of a compatible ARA editor, such as Melodyne, SpectraLayers, RePitch, Vovious or NoiseWorks VoiceAssist. These are not included, are licensed by their own makers, and are not covered by this agreement. Ableton Live 12.3 or later with Max for Live is also needed.
The software includes open-source and third-party components, each under its own licence. They are listed, with their licence texts, under About → Third-party notices in the null.audio app.
To activate or deactivate a licence, the software sends your licence key and an activation ID to Lemon Squeezy. It never sends audio, project or session data, and it has no analytics or automatic crash upload.
After activation, the software works without an internet connection. When it starts with a connection, it may check the licence with Lemon Squeezy. If a licence has been refunded or disabled, ALIGN or EDIT locks again; Revert and recovery stay available, so you can always get your original audio back.
More in the privacy notice.
The software only changes a clip when you press Commit, writes new audio to new files in your Live project, and never deletes files. Revert puts the previous clip back. Keep your own backups of important projects anyway, as with any audio software.
Within 14 days of buying, if the software doesn't work as described on your setup, write to contact@null.audio with your setup and the problem. We make one reasonable attempt to help. If it still doesn't work on a supported or tested setup, we refund you in full and the licence is deactivated. This is in addition to your statutory rights, not instead of them.
Your statutory rights for digital products apply, including our obligation to provide updates needed to keep the software working as described. We give no further guarantee beyond those rights and section 7. The software works alongside third-party products we don't control; their changes can affect it.
We are liable without limit for damage caused intentionally or through gross negligence, for injury to life, body or health, and under the German Product Liability Act (Produkthaftungsgesetz).
For slight negligence we are liable only for breach of an obligation that is essential to this agreement and that you may rely on, and then only for the typical damage that was foreseeable when you bought. For lost data, this covers the cost of restoring it from backups you could reasonably be expected to keep.
The licence ends if you seriously breach this agreement, for example by sharing your key. You must then uninstall the software. Sections 6, 8 and 9 continue to apply.
German law applies. If you are a consumer, you keep the protection of the mandatory consumer law of the country where you live.
We may update this agreement for new versions of the software. The version that came with the software you installed applies to that version.
